These Terms govern your use of the Puzzle Media platform operated by [Company Legal Name] (“Puzzle Media”, “we”, “us”). By creating an account or using the Platform, you agree to these Terms. If you do not agree, do not use the Platform.
1. Who can use Puzzle Media
You must be at least 18 years old and able to form a binding contract. Brands must be authorised to act for the business they represent. You are responsible for keeping your login credentials secure.
2. The service
Puzzle Media connects brands (businesses running local campaigns with tiered offers) with creators (nano/micro-influencers). Creators discover nearby offers, activate a voucher, visit the venue, post content, and we facilitate verification of that content. We are a platform and marketplace — we are not a party to the underlying arrangement between a brand and a creator.
3. Vouchers & collaborations
- Activating a voucher reserves a specific offer for a creator; it may expire if unused.
- Creators agree to genuinely visit the venue and post the agreed content within any stated timeframe.
- Rewards are released only after the post is verified. We may decline verification for posts that are missing, fake, deleted, or do not meet the campaign’s requirements.
- Brands agree to honour the offers they publish and to treat creators fairly and lawfully.
4. Creator disclosure obligations
Creators must clearly disclose paid or incentivised partnerships in their content (for example, using labels such as “#ad”, “paid partnership”, or “in collaboration with”) in line with the ASCI Guidelines for Influencer Advertising and applicable consumer-protection law. Content must be lawful, original, and not misleading, defamatory or infringing.
5. Subscriptions & payments
- Brand plans are billed in advance through our payment processor, Razorpay. Prices are shown in INR and may be subject to applicable taxes (e.g. GST).
- Plans grant the limits described at purchase (e.g. number of active campaigns). Exceeding a limit requires an upgrade.
- Unless stated otherwise, fees are non-refundable except where required by law. You can stop future renewals by cancelling before the renewal date.
- Where we facilitate creator payouts, payouts are subject to verification, applicable taxes and any withholding required by law.
6. Acceptable use
You agree not to:
- post false, fraudulent, infringing, or unlawful content, or fake engagement/metrics;
- misrepresent your identity, follower count or reach;
- attempt to bypass verification, plan limits, payments, or access controls;
- scrape, disrupt, or attack the Platform, or use it to spam or harass.
7. Content & intellectual property
You retain ownership of content you create. By participating in a campaign, you grant the relevant brand and Puzzle Media a non-exclusive, royalty-free licence to view, share and reference that content and its public metrics for the purpose of operating and promoting the collaboration, unless agreed otherwise in writing. The Platform, its software and branding remain our property.
8. Disclaimers
The Platform is provided “as is” without warranties of any kind. We do not guarantee any particular reach, footfall, sales, or campaign outcome, nor the conduct of any brand or creator.
9. Limitation of liability
To the maximum extent permitted by law, Puzzle Media will not be liable for indirect, incidental, or consequential damages. Our total liability for any claim relating to the Platform will not exceed the amount you paid us in the three (3) months before the event giving rise to the claim.
10. Indemnity
You agree to indemnify Puzzle Media against claims arising from your content, your use of the Platform, or your breach of these Terms or applicable law.
11. Suspension & termination
We may suspend or terminate accounts that breach these Terms or that we reasonably believe are fraudulent or harmful. You may stop using the Platform and request account deletion at any time.
12. Governing law & disputes
These Terms are governed by the laws of India. Subject to applicable law, the courts at Mumbai, Maharashtra shall have exclusive jurisdiction.
13. Changes
We may update these Terms; material changes will be notified through the Platform or by email. Continued use after changes take effect means you accept the updated Terms.
